Terms of Service

By accessing or using the Attension platform ("Service"), operated by Attension, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss arising from unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms.

Attension provides an AI workforce orchestration platform that allows users to deploy, monitor, and manage autonomous AI agents ("Agents") from a unified command center. Our Service includes, but is not limited to:

• Agent deployment and configuration
• Mission and task management
• Real-time monitoring and analytics
• Workspace and team collaboration tools
• Integration with third-party services and APIs
• Knowledge base and document management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation.

Certain features of the Service require payment of fees. You agree to pay all fees associated with your selected plan. All fees are non-refundable unless otherwise stated in writing.

We use third-party payment processors to handle billing. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.

We may change our fees at any time by posting the changes on the Service or by notifying you via email. Your continued use of the Service after fee changes constitutes acceptance of the new fees. If you do not agree to the new fees, you must cancel your subscription before the next billing cycle.

Usage-based charges (such as API calls, compute resources, or AI model usage) will be billed according to your current plan's rate schedule. We provide usage dashboards within the Service to help you monitor and manage your consumption.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right
• Upload, transmit, or distribute any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any illegal, fraudulent, or deceptive purpose
• Deploy Agents that generate spam, phishing, or other unsolicited communications
• Use Agents to impersonate any person or entity
• Circumvent any rate limits, usage quotas, or technical limitations
• Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including removing content, suspending accounts, and reporting to law enforcement.

The Service, including its original content, features, and functionality, is owned by Attension, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the content you create, upload, or generate through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, reproduce, and display your User Content solely to provide and improve the Service.

Output generated by AI Agents on your behalf ("Agent Output") is owned by you, subject to any underlying intellectual property rights of the AI models used. We make no representations regarding the intellectual property ownership of AI-generated content under applicable law.

You are solely responsible for the content you submit, post, or display through the Service. You represent and warrant that you have all necessary rights to submit such content and that it does not violate any third-party rights.

We do not claim ownership of your User Content. However, we may use anonymized and aggregated data derived from your use of the Service to improve our products and services.

You may request deletion of your User Content at any time through your account settings. We will delete your content within 30 days of such request, except where retention is required by law.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

The Service may integrate with or contain links to third-party services, websites, or applications. We do not control, endorse, or assume responsibility for any third-party content, services, or practices.

Your interactions with third-party services are governed by their respective terms and policies. We encourage you to review the terms and privacy policies of any third-party services you access through our platform.

We shall not be liable for any damage or loss caused by or in connection with the use of any third-party services.

The AI Agents provided through the Service operate autonomously based on your configurations and instructions. While we strive to ensure Agents perform reliably, we do not guarantee the accuracy, completeness, or suitability of any Agent Output.

You acknowledge that AI-generated content may contain errors, biases, or inaccuracies. You are responsible for reviewing and validating all Agent Output before relying on it for any decision-making or business purpose.

We are not liable for any actions taken by Agents on your behalf, including interactions with external services, data processing, or content generation.

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, we will make your data available for export for 30 days, after which it may be permanently deleted.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MISSION CONTROL, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Actions taken by AI Agents on your behalf

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Attension, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any third-party right.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction of such courts.

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on the Service and updating the "Last Updated" date. For material changes, we will also notify you via email or through an in-app notification.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
